Terms & Conditions

The terms for creating a Properlex account and using the Properlex platform. Last updated 11 October 2026.

1. About these terms

Properlex is operated by Miova Limited, a company based in Auckland, New Zealand, trading as Properlex ("Properlex", "we", "us"). These terms are an agreement between us and you, the person or business that creates an account or uses the Properlex platform at app.properlex.com ("you").

They apply to property managers who subscribe to Properlex and to the tenants, vendors and partners a property manager invites. By creating an account or using Properlex, you agree to them. If you use Properlex on behalf of a business, you confirm you can agree to these terms for it.

If your business has a separate written agreement or quote with us, that agreement wins where it differs from these terms.

2. Your account

  • Give accurate details and keep them up to date.
  • Keep your password secure and don't share your login. Each person needs their own account.
  • You're responsible for what happens under your account. Tell us straight away at the address below if you think someone else has used it.
  • You need to be at least 18 years old to create an account.

3. If you were invited by a property manager

Tenant, vendor and partner accounts are created from an invitation sent by a property manager that uses Properlex. Your organisation is connected to that property manager's workspace, and the property manager can see the details and messages you share with them through Properlex. The property manager decides which properties you're connected to and can remove that connection.

Accounts created from an invitation are free for the invited person or business.

4. Using Properlex responsibly

When you use Properlex, you must not:

  • send messages the recipient hasn't agreed to receive, or that otherwise break the law. This includes the Unsolicited Electronic Messages Act 2007 (New Zealand) and similar laws where your recipients are, such as Australia's Spam Act 2003 and the UK's Privacy and Electronic Communications Regulations;
  • upload contact details you aren't allowed to use, or use Properlex to harass, mislead or threaten anyone;
  • send content that is unlawful, defamatory, or infringes someone else's rights;
  • try to access accounts or data that aren't yours, interfere with or overload the platform, or introduce malicious code;
  • copy, resell, reverse engineer or scrape Properlex, except where the law allows.

Property managers are responsible for the contact details they add and for having a lawful basis to message those people.

5. Emergency notices

Properlex helps you send urgent notices quickly, but it is not an emergency service. SMS and email depend on third-party networks and can be delayed or fail. In an emergency, always contact emergency services directly: call 111 in New Zealand, or your local emergency number.

6. Your content and data

You keep ownership of the content you add to Properlex, such as contacts, messages and documents. You give us permission to store, copy and process it only as needed to provide, secure and support Properlex for you.

We handle personal information as described in our Privacy policy. Within Properlex, a property manager decides what is shared with the tenants, vendors and partners connected to their properties.

7. Plans, fees and payment

Property managers pay for Properlex under the plan agreed with us, which may include SMS charges. Fees, invoices and payment details are managed through our payment provider, Stripe. Unless your plan says otherwise, fees are payable by the due date on each invoice, and prices are exclusive of GST or other taxes, which are added where they apply.

If an invoice is more than 30 days overdue, we may pause sending until it is paid. Fees are non-refundable except where the law or your agreement with us says otherwise.

8. Third-party services

Properlex relies on trusted providers, including SMS and email delivery services, hosting and payment processing. We choose them carefully, but we don't control the mobile networks or email systems that carry your messages, so we can't guarantee that every message is delivered or delivered on time.

9. Availability and changes

We work to keep Properlex available and secure, but it may sometimes be unavailable, for example during maintenance. We keep improving Properlex and may change or remove features. If a change significantly reduces what a paying customer receives, we'll tell them in advance.

10. Our intellectual property

Properlex, including its software, design and brand, belongs to us or our licensors. These terms give you the right to use Properlex while your account is active; they don't transfer any ownership. If you send us feedback or suggestions, we may use them without any obligation to you.

11. Liability

Properlex is provided for business use. To the extent the law allows, the Consumer Guarantees Act 1993 and similar consumer laws don't apply where you use Properlex for the purposes of a business, and we make no promises about Properlex beyond those in these terms.

To the extent the law allows:

  • we aren't liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill;
  • we aren't liable for messages that are delayed or not delivered by networks or providers outside our control;
  • our total liability to you in any 12-month period is limited to the fees you paid us in that period, or NZ$100 if you haven't paid us anything.

Nothing in these terms limits liability that can't legally be limited. Property managers are responsible for, and will cover our reasonable costs arising from, messages they send and contact details they upload in breach of these terms or the law.

12. Suspending or ending your account

You can stop using Properlex at any time; contact us to close your account. Property managers' plans end as set out in their plan or agreement.

We may suspend or close an account if it breaches these terms, if it puts Properlex or other people at risk, or if we're required to by law. Where it's reasonable, we'll warn you first and give you a chance to fix the problem.

13. Governing law

These terms are governed by the laws of New Zealand, and the courts of New Zealand have jurisdiction over any dispute about them.

14. Changes to these terms

We may update these terms from time to time. We'll revise the date at the top of this page and, for significant changes, tell account holders before the changes take effect. If you keep using Properlex after that, the updated terms apply.
